1. General provisions

1.1. This document is a public offer within the meaning of Article 395 of the
Civil Code of the Republic of Kazakhstan and contains all essential terms for
providing access to the WameUp service (wameup.com).

1.2. The offer is made by:

Individual Entrepreneur WameUp
BIN/IIN: 861113402404
Address: Republic of Kazakhstan, Almaty, Seifullin str. 416/3, office 59

hereinafter the "Contractor".

1.3. The person who accepts the offer is hereinafter the "User". The User may
be an individual, an individual entrepreneur or a legal entity using the
Service for business purposes.

1.4. Acceptance. Registering an account in the Service and ticking "I have
read and accept the terms" means full and unconditional acceptance of this
offer (Art. 396 of the Civil Code of the Republic of Kazakhstan) and is
equivalent to concluding the agreement in writing. The Contractor records the
date, time and number of the accepted edition.

1.5. The Service may not be used without acceptance.

2. Terms

Service means the WameUp software and hardware system (wameup.com),
including the control panel at desk.wameup.com, which provides the User with an
AI agent for receiving requests and placing orders, appointments and bookings
in WhatsApp, Telegram and the web widget, as well as the control panel.

Organisation means the User's workspace in the Service to which the
settings, catalogue and correspondence are linked.

User's Customer means an individual who contacts the User through the
connected channels. The User's Customer is not a party to this agreement.

Unit means the Contractor's internal accounting unit in which the use of the
Service is measured. Unit are purchased for a fee or credited without payment
in the cases provided for in section 4; Unit are not money, electronic money
or any other means of payment and are spent only in the Service.

Personal data means information within the meaning of the Law of the
Republic of Kazakhstan "On Personal Data and Their Protection" No. 94-V of
21 May 2013.

3. Subject of the agreement

3.1. The Contractor provides the User with access to the Service on a
"software as a service" basis, and the User pays for the use of the Service by
purchasing Unit on the terms of section 4.

3.2. Ownership of the Service, its source code and design remains with the
Contractor. The User receives a non-exclusive, non-transferable right of use
for the term of the agreement.

3.3. The Service is provided "as is". The Contractor does not guarantee that the
AI agent's automatic replies will be error-free and is not a party to
transactions between the User and its Customers.

3.4. Materials that the User places in the Service (photographs, videos,
descriptions and names of goods and services, logos, texts of mailings and
settings) remain the User's. For the term of the agreement, the User grants the
Contractor a free non-exclusive licence to store, process, reproduce and
display these materials to the extent necessary for the operation of the
Service: in the Organisation's catalogue and online shop, by QR code, in
messengers and in the AI agent's replies. The Contractor does not use these
materials for any other purpose.

4. Unit and payment

4.1. The Service is paid for as it is used (pay-as-you-go). There are no
plans, no subscription fee and no recurring payments; every feature of the
Service is available to every Organisation. The User purchases Unit and spends
them on the work of the AI agent and on actions in the Service at the
consumption rates (clause 4.10). The price of Unit and the consumption rates are
set out in Annex No. 2 (at the end of this offer), which forms an integral part
of this offer. Prices are stated in tenge.

4.2. One Unit balance per account. All Organisations of the User's
account spend Unit from one shared balance, and Unit are purchased for the
account, whichever of its Organisations the payment is made from.

4.3. Price of Unit. Payment is made in advance: the User purchases Unit for
an amount from 1,000 (one thousand) to 500,000 (five hundred thousand) tenge per
payment. The number of Unit the User receives for the chosen amount is
determined by the scale in Annex No. 2 and is shown before payment; the larger
the payment, the lower the price of one Unit. Unit have no expiry date and
are spent until exhausted.

4.4. The Contractor may change the price of Unit and the consumption rates
(Annex No. 2) by notifying the User at least 15 (fifteen) calendar days in
advance at the email address given at registration. A change in price does not
reduce the number of Unit already purchased.

4.5. Registration opens the Service. After the email address is confirmed,
the Organisation is activated and the User may connect channels and correspond
with Customers. The first Organisation of an account receives, once, the
welcome amount of Unit stated in the Service, provided that this email address
has not received it before, including in a deleted account. Welcome Unit have
no expiry date and are not credited again. Processing of the personal data of
the User's Customers begins at activation and is carried out on the terms of
section 5 and Appendix No. 1.

4.6. Promo codes and transfer of Unit. Unit may be credited without
payment under a promo code issued by the Contractor: one promo code applies to
one account, and one account may use one promo code. The User may transfer Unit
to the balance of another user's account by stating the email address of that
account. Purchased Unit and Unit received under a promo code or
by transfer may be transferred; welcome Unit may not. A transfer is
irreversible, takes place within the Service and creates no monetary
obligations between the Contractor and users. Unit are not money,
electronic money or any other means of payment
: they are spent only in the
Service and are not exchanged for money.

4.7. Payment by bank card in the Service. The User pays for Unit from the
control panel by bank card on the secure payment page of the acquiring bank.
Payment is deemed confirmed by the Contractor at the moment the bank confirms a
successful payment; Unit are credited automatically. Card data is entered on
the bank's page: the Contractor neither receives nor stores it. The User makes
each payment personally; the Service makes no automatic, recurring or
non-acceptance debits.

Instead of paying by card, the User may request from the Contractor an invoice
addressed to the Organisation (via the contacts in section 13) and pay it by
bank transfer to the Contractor's account stated in section 13 and in the
invoice. The invoice is valid for 10 (ten) calendar days from its date. Such a
payment is deemed confirmed by the Contractor when the Contractor has confirmed
receipt of the funds — no later than the business day following the day they
are credited to the Contractor's account; the Contractor then credits the
Unit.

4.8. Running out of Unit suspends paid actions but creates no debt. When the
Unit balance is zero, the following are suspended: handling of Customer
enquiries by the AI agent; Customers placing orders, appointments and bookings
themselves through the Service interface (the catalogue remains available for
viewing); broadcasts; automatic reminders; issuing new waybills; manual creation
of bookings and reservations in the control panel; sales through the Service's
till and manual entry of sales in the control panel. The control panel and the
Organisation's data keep working. No funds are debited and no invoice is issued;
consumption in excess of the Unit balance does not become a debt. Work resumes
once Unit are purchased.

4.9. Deletion of an unpaid Organisation. The Contractor deletes an
Organisation together with its data:

1) if no payment has been made for the account — after 14 (fourteen) calendar
days from the day the Organisation was created;
2) if payment has been made for the account — after 3 (three) calendar months
from the day the account's Unit balance reached zero. While the Unit balance
is above zero, the Organisation is not deleted under this clause.

For the purposes of this clause, payment means the purchase of Unit and also
the crediting of Unit under a promo code or their receipt by transfer (clause
4.6). Logging in to the control panel and handling enquiries with welcome Unit
do not interrupt the period. The Organisation in which the User's account is
registered is deleted no earlier than the last of the User's other
Organisations, and the account is deleted together with it.

During the 3 (three) calendar days before deletion, the Contractor notifies the
User daily at the email address given at registration, in the Staff Mobile
Terminal and in Telegram, stating the date of deletion. If the first notice is sent later, the date of deletion is moved
so that at least 3 (three) calendar days pass between the first notice and the
deletion. A payment made before the date of deletion cancels it.

An account whose email address has not been confirmed within 72 (seventy-two)
hours of registration is deleted together with its Organisation without notice.

Deletion is irreversible. Apart from the cases in this clause, deletion takes
place only at the User's request (clause 10.2) or on grounds expressly provided
for by the legislation of the Republic of Kazakhstan. Information the
Contractor must keep under tax and accounting legislation, including payment
records and closing documents, is kept to the extent and for the period
established by law. So as not to credit welcome Unit twice (clause 4.5), the
Contractor keeps an irreversible fingerprint of the email address from which
the address cannot be recovered.

4.10. Accounting for consumption. Unit are debited at uniform rates, the
same for all Organisations and users, without increasing coefficients: for the
work of the AI agent — by the volume of information it processes, including
recognition of images and voice messages; for an order, appointment or booking
placed by a Customer through the Service interface and for a table order
accepted by the User — as a percentage of the amount; for a sale through the
Service's till or entered manually in the control panel — as a percentage of the
amount; for a delivered broadcast message and a delivered reminder, for issuing
a new waybill and for a booking or reservation created manually — as a fixed
number of Unit. The rates are set out in Annex No. 2. The Unit balance is shown
in the control panel.

Unit for an order, appointment or booking placed through the Service interface,
for a table order and for a sale are debited at the moment that action is
performed, on the amount at that moment. Subsequent cancellation of an order,
appointment or booking, a change to its contents or amount, a Customer's
no-show, a return of goods, and any other action of the User, its staff or a
Customer in the control panel, the Staff Mobile Terminal, Telegram or
correspondence do not restore the Unit debited. Unit debited by the Service in
error (twice or in a wrong number) are restored to the balance at the User's
request.

4.11. Number of Organisations. The second and further Organisations may be
created once payment has been made for the account at least once (Unit
purchased or a promo code applied). An account may have up to 10 (ten)
Organisations; the Contractor may set a different limit at the User's request.

4.12. Notices of the Unit balance. The Contractor notifies the User when
the Unit balance approaches zero and when it is exhausted — at the email
address given at registration and in the notification channel set by the User
in the control panel. Failure to receive a notice for reasons beyond the
Contractor's control does not affect the application of this section.

4.13. Refunds. Purchased Unit, spent or unspent, are not refunded in money:
they have no expiry date, and the User may transfer Unit they do not need
under clause 4.6. If the Service was unavailable through the Contractor's fault
beyond the level provided for by this offer, the Contractor refunds the price
of the Unit that could not be used for that reason — upon the User's written
request, to the card used for the payment, within 10 (ten) business days. An
erroneous transaction (a duplicate debit, a wrong amount) is refunded in the
same way. Other cases of refund are governed by the legislation of the
Republic of Kazakhstan.

4.14. Closing documents. For each payment the Contractor issues the User a
receipt. On the day Unit are paid for, the Contractor draws up an act of
completed works (services rendered) — the service being the provision of
Unit — signs it with an electronic digital signature and sends it through the
electronic invoice information system, where an electronic invoice is also
issued. Payments made on the same day are included in one act. Unit credited
without payment do not give rise to closing documents. Documents are issued to
the details specified in the Organisation's settings (sub-clause 5) of clause
8.1). Copies are available in the control panel, in the "Accounting" section.

4.15. Acceptance of services. The services are deemed properly rendered and
accepted by the User, and the act signed by the User, if within 5 (five)
business days from the date the act was sent the Contractor has received no
reasoned written objection from the User at the email address given in section
13.

5. Personal data: allocation of roles

5.1. The User is the owner of the database containing the personal data of
its Customers
(Art. 1 of Law No. 94-V). The Contractor acts as the operator
that collects, processes and protects this data on the User's instructions
and in the User's interests
.

5.2. The procedure for processing, the list of operations, the protection
requirements and the procedure for destroying the data are set out in Annex
No. 1 to this offer, the Personal Data Processing Agreement, which is deemed
concluded at the same time as this offer is accepted.

5.3. Obligations of the User as the database owner. The User, on its own
and at its own responsibility:

1) obtains its Customers' consent to the collection and processing of personal
data in a way that allows receipt of the consent to be confirmed (Art. 8 of
Law No. 94-V);
2) publishes and keeps up to date its own personal data processing policy and
public agreement with its Customers;
3) specifies accurate details in the Organisation's settings, as they appear in
documents its Customers see;
4) handles its Customers' requests to change or delete data and to withdraw
consent;
5) does not upload to the Service personal data obtained without a lawful
basis.

5.4. The Service provides the User with ready-made document templates for its
Customers and a mechanism for recording consent. Using these tools does not
transfer to the Contractor the database owner's obligations listed in
clause 5.3.

5.4a. The User's public agreement with its Customers. The agreement the
User concludes with its Customers when selling goods, providing services and
accepting orders and appointments (the "Customer Agreement") is a transaction
between the User and its Customer; the Contractor is not a party to it.

The Service offers the User a Customer Agreement template matching the
business model the User has chosen, and a builder in the Organisation's
settings to fill it in. The User must either fill in the mandatory
information in the builder and thereby accept the template as offered, or
publish its own edition of the document instead of the template. In either
case, the content of the Customer Agreement (the subject of the transaction,
price, payment, delivery, cancellation and return terms, details) is
determined and confirmed by the User on its own and under its full
responsibility; inaccurate or incomplete information has the consequences
provided in clause 8.3.

The Service does not publish the Customer Agreement until the information about
the User as the seller required by the consumer protection law of the Republic
of Kazakhstan has been filled in.

Until this information is filled in, the Service continues to accept
Customers' requests, orders and appointments, and the Customer Agreement
remains unpublished. During this period the User sells goods and provides
services at its own responsibility; the consequences of not giving the
Customer the information required by the consumer protection law of the
Republic of Kazakhstan, including Customer claims and demands of state
bodies, are borne by the User. The Contractor may suspend access until the
information is completed, notifying the User.

5.5. The User's own personal data (name, email address, phone number, payment
information) is processed by the Contractor in accordance with the
Contractor's Personal Data Processing Policy published at
https://api.wameup.com/legal/privacy.

5.6. Data that has left the Service. Personal data of Customers exported by
the User from the Service or passed by the User to third parties in any way is
processed outside the Contractor's control. The Contractor is not responsible
for what happens to it afterwards (disclosure, loss or unlawful use after such
transfer); the User is responsible to the Customers and the authorised body in
this respect. This clause does not release the Contractor from the
obligations under clause 9.4 for data held in the Service.

6. Automated processing and transfer outside the Republic of Kazakhstan

6.1. The Service uses external cloud infrastructure providers and machine
learning models to process text and transcribe voice messages. Some of these
providers are located outside the Republic of Kazakhstan.

6.2. The current list of such providers and the data passed to them is given in
Annex No. 1. The Contractor notifies the User of a change to the list at least
15 calendar days in advance by publishing a new edition.

6.3. The User must reflect the cross-border transfer in the consent it obtains
from its Customers (Art. 16 of Law No. 94-V). The policy template provided by
the Service contains such a clause.

6.4. The AI agent's replies are generated automatically. The User ensures that a
human can intervene: the Service provides for an operator taking over the
dialogue.

7. Restrictions on use

7.1. The User may not use the Service for:

1) sending advertising messages to persons who have not given separate consent
to it;
2) processing personal data unrelated to its own business, including
uploading other people's customer databases;
3) collecting biometric data, health data, criminal records data and other
special categories of data without a separate lawful basis;
4) actions that violate the rules of the connected messengers;
5) attempts to access the data of other Users of the Service;
6) selling goods, performing work or providing services whose circulation is
prohibited by the law of the Republic of Kazakhstan, including narcotic
drugs, psychotropic substances and their analogues; electronic smoking
systems, liquids and flavourings for them, smokeless tobacco products;
weapons, ammunition and explosives outside the procedure established by
law; goods bearing an unlawfully used trademark; pornographic materials;
personal data databases and other restricted-access information resources;
forged documents and payment cards; raising money through a financial
(investment) pyramid scheme; organising gambling outside the procedure
established by law;
7) carrying out activities subject to licensing under the Law of the Republic
of Kazakhstan "On Permits and Notifications" without a valid licence or
beyond its scope, including selling alcoholic products, medicines and
medical devices, civilian weapons and pyrotechnics, poisons and pesticides;
providing medical, banking, microfinance and insurance services, services
with digital assets; operating casinos, betting shops and totalisators;
tour operator and security activities.

The list in subclauses 6) and 7) is not exhaustive.

7.2. In the event of a breach of subclauses 1)–5) of clause 7.1, the Contractor
may suspend access, notifying the User, and if the breach is not remedied
within 10 working days, terminate the agreement unilaterally.

7.3. Immediate blocking. If the Contractor discovers a breach of
subclauses 6) or 7) of clause 7.1, whether from its own data, including the
results of the check under clause 2.3 of Annex No. 1, at the request of a
state body, bank or payment organisation, or on a third party's complaint, the
Contractor may without prior notice block the User's access to all
Organisations of the account and withdraw from the agreement unilaterally. The
decision to block is taken by an employee of the Contractor. The Parties
recognise such a breach as the User's fault (paragraph 2 of Article 686 of the
Civil Code of the Republic of Kazakhstan) and agree that the notice period
provided by paragraph 4 of Article 404 of the Civil Code of the Republic of
Kazakhstan does not apply in this case. Notice of withdrawal is sent to the
email address given at registration; the withdrawal takes effect at the moment
of blocking.

7.4. Payment is not refunded. On withdrawal under clause 7.3, the User pays
the Contractor a penalty equal to the cost of purchased and unspent Unit. The
Contractor's obligation to refund this cost is terminated by set-off against the
penalty. The Contractor's losses in excess of the penalty are compensated
under clause 9.7.

7.5. Blocking does not mean deletion. The data of a blocked Organisation is kept
on the terms of section 10 of Annex No. 1, including for transfer to authorised
bodies at their lawful request; while such storage is necessary, deletion under
clause 4.9 does not apply to it.

7.6. Removal of goods and materials on complaint. On receiving a right
holder's complaint or a state body's demand concerning an infringement of
rights by goods or material placed by the User, the Contractor may, without
prior notice, hide or delete those goods or that material and informs the User
of this at the email address given at registration. The User may object by
attaching documents confirming its rights; the Contractor restores the goods or
material if the complaint is withdrawn or the User's rights are confirmed by a
court decision or by the right holder's documents. Removal under this clause is
not blocking under clause 7.3 and does not entail the consequences of clause
7.4.

8. User's representations

8.1. By accepting the offer, the User represents to the Contractor that:

1) it uses the Service for business purposes and has full authority to
conclude the agreement;
2) it has a lawful basis for processing the personal data of each of its
Customers whose data enters the Service;
3) it has published its own documents for Customers and obtains their consent;
4) the information about itself as a party to the agreement (legal form:
individual entrepreneur, limited liability partnership or another legal
entity; full name; and, if stated, BIN/IIN) is accurate and relates to it
specifically
;
5) the details it has specified in the Organisation's settings are accurate;
6) the content of its catalogue, mailings and correspondence does not violate
the law of the Republic of Kazakhstan or the rules of the connected
messengers;
7) it holds all licences, permits and notifications required for its business
and keeps them valid;
8) it holds all permits and rights necessary to sell its goods and provide its
services, including those from the right holders of brands, trade names,
trademarks, service marks and other intellectual property, as well as the
rights to all materials it places in the Service (clause 3.4), including
those uploaded by link, from an accounting system or from a website; selling
and advertising these goods, placing the materials and showing them to
Customers does not infringe copyright, related rights, trademark rights or
other rights of third parties.

8.2. The representations are given under Article 384-1 of the Civil Code of the
Republic of Kazakhstan. Inaccuracy of any of them is a material breach of the
agreement.

8.3. The User is responsible for the information about the party to the
agreement.
The Contractor accepts the name and legal form as stated by the
User and is not obliged to verify them. If this information proves inaccurate,
all consequences, including invalidity of documents issued to that person,
claims of the User's Customers and demands of state bodies, are borne by the
User. In this case the Contractor may suspend access and terminate the
agreement unilaterally, notifying the User.

8.4. The User undertakes to keep this information up to date and to report
changes to it within ten working days.

8.5. The User is responsible for its goods and the materials it places. The
User is responsible for the quality of its goods and services and their
compliance with the law; for holding all permits and certificates necessary to
sell them and to publish information about them, including those from the right
holders of brands, trade names, trademarks, service marks and other
intellectual property; for the accuracy of information about the goods (name,
characteristics, prices, availability); and for the materials placed in the
Service. The Contractor is not a party to the User's transactions, does not
verify the origin of goods and materials and is not obliged to do so. The User
settles on its own, by its own efforts and at its own expense, all issues,
disputes, lawsuits and claims of right holders, the User's Customers and other
persons relating to the User's goods and materials, and compensates the
Contractor's expenses, including defence costs, under clause 9.7.

9. Liability

9.1. The Service is provided "as is" and "as available". The Contractor gives no
warranty of uninterrupted operation, absence of errors, fitness for the
User's particular tasks, or the accuracy, completeness and appropriateness of
the replies generated by the AI agent.

9.2. The Contractor is not liable for:

1) the content of the User's correspondence with its Customers and decisions
taken by the User or its Customers based on the AI agent's replies;
2) the conclusion, performance and consequences of the User's transactions, to
which the Contractor is not a party;
3) lost profit, lost income, loss of customers and reputational harm;
4) failures and changes on the side of messengers, model providers, payment
systems and telecom operators, including a messenger blocking the User's
number or account;
5) loss of data caused by the actions of the User or persons to whom it gave
access to the account;
6) interruptions during scheduled maintenance of which the User was notified.

9.3. Limit of liability. The Contractor's aggregate liability for all claims
for any period is limited to the amount actually paid by the User for the
three calendar months preceding the event giving rise to the claim. For Users
who have made no payment, the limit of liability is zero.

9.4. Contractor's liability for confidentiality. The Contractor is liable for
non-disclosure and non-dissemination of data entrusted to it by the User
(Article 11 of the Personal Data Law). This applies to:

1) the User's own data: surname, first name, email, phone number, name and
details, payment information;
2) the data of the User's Customers: name, phone number, delivery address,
content of correspondence with the AI agent and the operator, images
sent, items and history of orders, appointments and bookings;
3) the content of the Organisation's catalogue, settings and system prompt.

The above is not passed to anyone other than the recipients expressly named in
section 6 of the Processing Agreement and is not published in publicly
available sources. Access by the Contractor's employees is limited to business
necessity, and they are bound by a non-disclosure undertaking.

9.5. The limit of liability set by clause 9.3 does not apply to a breach of
the obligation provided by clause 9.4. For disclosure or dissemination of this
data, the Contractor is liable in full in accordance with the law of the
Republic of Kazakhstan.

9.6. The limitations of clauses 9.1–9.3 do not apply where the law of the
Republic of Kazakhstan does not permit them. Invalidity of any limitation does
not make the other terms of the agreement invalid.

9.7. Indemnity. If claims are brought against the Contractor by third
parties, the User's Customers or state bodies as a result of inaccurate
representations under section 8, the User's failure to perform the
obligations of clause 5.3, or a breach of clause 7.1, the User reimburses the
Contractor for the fines imposed, the amounts awarded and reasonable defence
costs within 20 working days of receiving a written demand with supporting
documents.

9.8. The Contractor is liable for its own breaches of the personal data
protection measures provided by Annex No. 1 and for processing beyond the
instruction given to it. This clause does not limit the Contractor's
obligations to the authorised body established by law.

9.9. Force majeure. A Party is released from liability for non-performance
caused by circumstances it could not foresee or prevent, including actions of
state bodies, restriction of access to the communications network, and
accidents at infrastructure providers. The Party notifies the other within
10 working days.

10. Term and termination

10.1. The agreement takes effect upon acceptance and is valid indefinitely.

10.2. The User may withdraw at any time by deleting the account in the panel.
Deleting the account deletes all of the Organisation's data, including
correspondence. Recovery is not possible.

10.3. The Contractor may terminate the agreement by notifying the User 30
calendar days in advance and refunding the cost of purchased and unspent
Unit. Withdrawal from the agreement under clause 7.3 is made in the manner of
clauses 7.3–7.5, and this clause does not apply to it. Deletion of an
Organisation and account under clause 4.9 is carried out in the manner and
within the periods of that clause, and this clause does not apply to it either:
an Organisation that has been paid for is deleted only after its Unit have been
spent, so no unspent remainder exists.

11. Changes to the offer

11.1. The Contractor may change the offer. A new edition is published at the
address in the preamble under the next number and replaces the previous one from
the moment of publication.

11.2. Material changes (the data processed, the list of recipients, the terms of
cross-border transfer, the price of Unit and the consumption rates (Annex No.
2)) take effect no earlier than 15 calendar days after notice to the User at the
email address given at registration.

11.3. Continued use of the Service after a new edition takes effect means its
acceptance. A User who disagrees may terminate the agreement under
clause 10.2.

12. Dispute resolution

12.1. The pre-trial procedure is mandatory. The term for replying to a claim is
15 working days from receipt.

12.2. Unresolved disputes are heard by the court at the Contractor's location
in accordance with the law of the Republic of Kazakhstan.
